11. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Galen Scientific, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; (d) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Services by any third party; or (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Services, whether based on warranty, contract, tort, or any other legal theory, and whether or not Galen Scientific is advised of the possibility of such damages. Our total liability to you for all claims arising out of or relating to the Services is limited to the amount you paid us, if any, for accessing our Services.
12. Indemnification
You agree to indemnify, defend, and hold harmless Galen Scientific and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any rights of another.
13. Termination
We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may do so by discontinuing your use of the Services. Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis, rather than in court. This includes any claims against Galen Scientific's employees, agents, or affiliates. The Federal Arbitration Act and federal arbitration law apply to these Terms. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow these Terms as a court would. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our legal team at [email protected]. The arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA), including the AAA's Consumer Arbitration Rules. The payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. Arbitration will take place in the jurisdiction where you reside unless you and Galen Scientific agree otherwise. If you are a resident of the United States, the arbitration will take place in your state of residence. Any arbitration under these Terms will take place on an individual basis. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed. You agree that you and Galen Scientific are each waiving the right to trial by jury or to participate in a class action. Notwithstanding the foregoing, you or Galen Scientific may seek injunctive relief in any state or federal court of competent jurisdiction. If any portion of this arbitration provision is found unenforceable, the remainder of the arbitration provision will remain in effect.
15. Governing Law
These Terms and any disputes related thereto shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal actions or proceedings related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Texas, and you hereby consent to the jurisdiction of such courts.
16. Changes to the Terms
Galen Scientific reserves the right to modify or replace these Terms at any time in our sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms on our website or through other means of communication. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically for any updates or changes.
17. Miscellaneous
a. Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by Galen Scientific, constitute the entire agreement between you and Galen Scientific concerning your use of the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
b. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Galen Scientific's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
c. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Galen Scientific's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Galen Scientific may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
d. Notices: All notices or other communications required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, sent by registered or certified mail, return receipt requested, or by electronic mail to the parties at their respective addresses or email addresses as set forth in this agreement or as subsequently updated in writing.
e. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
